# Sales granted a verbal extension: bringing the teams back into alignment

“Your salesperson told us we could pay at the end of the month.” Finance discovers this statement after sending a reminder. The salesperson remembers a quick conversation but believes they only offered to ask management. The customer has already arranged its next payment on a different understanding.

The disagreement cannot be resolved simply by setting the written contract against the salesperson's words. Establish what was said, by whom, about which invoices and with what effect. The aim is a shared position that accounts for commitments actually made, followed by consistent financial follow-up.

This article addresses French business relationships. For a customer elsewhere in Europe, the applicable law and contractual arrangements also need consideration; the French provisions below are not a single rule for every European contract.

## Pause contradictory messages while establishing the facts

When a verbal extension is reported, appoint one person to coordinate the response. An automated demand for immediate payment while sales confirms extra time makes the case harder to resolve. A targeted pause on the relevant messages can support verification. It does not itself acknowledge that the requested extension was agreed.

Ask sales to reconstruct the useful wording, context and participants. “We can wait” differs from “I will ask whether we can wait.” A condition, the invoice concerned or an expected commitment in return may change the meaning. Date any retrospective note honestly rather than presenting it as a contemporaneous record.

The immediate purpose is not an internal disciplinary exercise. Someone expecting blame may summarise hastily or defend their first account. Establishing facts before assigning responsibility improves the current decision and leaves room to repair the approval process afterwards.

Also check whether another colleague communicated with the customer during the same period. Two individually reasonable messages can create incompatible expectations when neither sender knows about the other exchange.

## Do not dismiss speech as automatically meaningless

For commercial acts involving proof against traders, Article L110-3 of the French Commercial Code permits proof by any means unless legislation provides otherwise. It would therefore be unwise to declare a discussion irrelevant solely because no amendment was signed. This rule does not apply indiscriminately to every professional relationship. [French Commercial Code, Article L110-3](https://www.legifrance.gouv.fr/codes/article_lc/LEGIARTI000006219127).

Admissible evidence does not automatically establish the alleged content. Gather emails before and after the call, customer messages and any confirmations. An internal note saying “handle this customer carefully” establishes neither an amount, a date nor agreement to amend the payment arrangement.

Article 1193 of the French Civil Code provides for contractual changes through mutual consent or grounds authorised by law. The task is therefore to establish the actual agreement and applicable rules, rather than converting a commercial preference into a new due date. [French Civil Code, Article 1193](https://www.legifrance.gouv.fr/codes/article_lc/LEGIARTI000032041314).

## Check authority and what the customer could reasonably understand

Review the salesperson's delegated authority and the practices actually followed. May they negotiate more time? Is prior approval required? Have they previously announced similar decisions with management's visible support? Missing approval under an internal procedure does not always settle the external position.

Article 1156 of the French Civil Code includes an exception where the third party legitimately believed in the representative's authority because of the represented party's conduct or statements. It also addresses ratification. Assessing a disputed commitment therefore requires the circumstances, rather than only a permission checkbox. [French Civil Code, Article 1156](https://www.legifrance.gouv.fr/codes/article_lc/LEGIARTI000032041104).

Where the commitment is materially disputed, refer the evidence to the person responsible for that decision and, where needed, their legal adviser. Do not automatically tell the customer that the salesperson “was not allowed” and the conversation has no effect. The method for [approving extensions within a collections tool](https://www.billabex.com/en/blog/payment-extension-approval-collections-tool/) helps prevent recurrence. It does not decide the past facts retrospectively.

## Identify the amount and date before changing the plan

Consider a simulation with two open invoices: €5,400 due on 15 October and €3,000 due on 30 October. Sales discussed “month end” with the customer regarding the first invoice. Moving the entire account to 31 October would alter follow-up on €8,400, although the conversation concerned only €5,400.

After verification and an authorised decision, the parties in this example confirm payment of €5,400 on 29 October. The first invoice moves by fourteen days. The second remains scheduled for 30 October. The total balance stays €8,400: allowing time is neither receiving cash nor granting a discount.

The cash plan needs to show the real timing effect. Assume €2,000 available, €5,400 originally expected before 23 October and a €6,000 outflow on that date, with no other movements. The expected balance was €2,000 plus €5,400 minus €6,000, or €1,400. If payment moves beyond 23 October, the balance becomes negative €4,000. The balance deteriorates by €5,400. An additional €4,000 of funding would bring it back to zero in this simulation, even if the customer intends to pay in full later.

These fictional figures establish no statutory or commercial threshold. They explain why the decision cannot remain only in the salesperson's diary. While agreement is uncertain, show finance the alternative scenarios instead of recording a firm promise.

A forecast should also retain its assumptions. If someone later asks why a previously positive week became negative, they should find the changed receipt date and its source rather than an unexplained manual adjustment.

## Confirm the precise agreement without reopening everything

Once the facts and decision are established, send a confirmation identifying the invoice, amount and agreed date. State what was actually agreed about other conditions without inventing a waiver of rights or an additional obligation. Check applicable payment-term limits too; an arrangement cannot be used to evade mandatory rules.

If the accounts still differ, identify the unresolved point clearly. The customer may have understood a whole-account extension while the documented exchange concerned one invoice. A new proposal can be discussed, but describe it as new instead of rewriting the earlier conversation.

Then distinguish the promised payment date, next checking date and original invoice date. The guide to [making payment promises trackable](https://www.billabex.com/en/blog/verifiable-payment-promises/) explains the necessary information. Follow-up can preserve the history of delay while avoiding a message inconsistent with the confirmed agreement.

Do not assume the customer's accounts-payable team has received the confirmation merely because their commercial contact has. Identify the person who needs it to arrange payment and use the established contact route.

## Give the three participants the same decision

Sales, finance and the colleague handling reminders should find the same decision, its source and scope. A private messaging note is insufficient if the next communication leaves through another system. The handover should identify who checks the receipt and what happens if the amount differs.

[AI-generated call notes](https://www.billabex.com/en/blog/ai-call-notes-payment-commitments/) require particular care: a summary can turn a conditional request into a commitment. To examine how dates and agreements remain visible, explore [Billabex's payment-promise follow-up](https://www.billabex.com/en/product/payment-promises/). Test an extension discussed outside the tool and subsequently confirmed, checking that the team can retrieve the relevant context before acting again.
